By accessing or using any NeuralStrat Labs website, service, or product — including the DeepInsight research platform — you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not access or use our services.

These Terms apply to all users including visitors, registered users, team members, and enterprise customers. NeuralStrat Labs reserves the right to update these Terms at any time. We will notify you of material changes via email or prominent notice on our website. Continued use after changes constitutes acceptance.

To access certain features of DeepInsight or other NeuralStrat Labs services, you must create an account. You agree to:

You must be at least 18 years of age to create an account. Accounts created on behalf of a business entity represent that the individual has authority to bind that entity to these Terms. We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or have been inactive for an extended period.

You agree to use NeuralStrat Labs services only for lawful purposes. You must not:

NeuralStrat Labs Content — All materials on our websites and platforms including text, graphics, logos, software, and the DeepInsight platform are owned by or licensed to NeuralStrat Labs and protected by copyright, trademark, and other intellectual property laws.

Your Content — You retain ownership of content you upload or generate using our services. By using our services, you grant NeuralStrat Labs a limited, non-exclusive, royalty-free license to process, store, and display your content solely to provide and improve the services.

Research Outputs — Reports, summaries, and other outputs generated by the DeepInsight platform based on your queries are owned by you, subject to applicable third-party source terms and citations embedded in those outputs.

Feedback — Any suggestions, ideas, or feedback you provide may be used by NeuralStrat Labs without compensation or attribution.

Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Key principles:

Free Plan — The DeepInsight Free plan is provided at no charge, subject to usage limits and feature restrictions as specified on our pricing page.

Paid Plans — Pro and Enterprise subscriptions are billed monthly or annually. All fees are stated in USD and are non-refundable except as required by law or as stated in our refund policy.

Billing — You authorize us to charge your payment method on a recurring basis. Failed payments may result in service downtime. You are responsible for keeping billing information current.

Cancellation — You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No partial refunds are issued for unused time.

Price Changes — We may change subscription pricing with 30 days' notice. Continued use after the effective date constitutes acceptance.

Enterprise — Enterprise pricing and terms are governed by a separate Order Form and, if applicable, Master Services Agreement.

AI-Generated Content — DeepInsight and other AI-powered features generate content based on machine learning models. This content may contain errors or inaccuracies, should not be relied upon as the sole source for high-stakes decisions (legal, medical, financial, or safety-critical), does not constitute professional advice in any regulated field, and may reflect biases present in training data. You are responsible for independently verifying AI-generated outputs before acting on them.

Service Availability — NeuralStrat Labs does not guarantee uninterrupted or error-free operation. We target high availability but do not warrant specific uptime percentages except under Enterprise SLAs.

Third-Party Sources — Research results may incorporate content from third-party sources. NeuralStrat Labs does not endorse, verify, or warrant the accuracy of such third-party content.

To the maximum extent permitted by applicable law:

Exclusion of Damages — NeuralStrat Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of or inability to use our services, even if advised of the possibility of such damages.

Liability Cap — Our total liability for any claim shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless NeuralStrat Labs, its officers, directors, employees, and contractors from any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

Either party may terminate these Terms at any time. NeuralStrat Labs may suspend or terminate your access immediately for material breach, illegal activity, or conduct that poses risk to other users or our systems.

Upon termination, your right to use our services ceases immediately. You may export your data from DeepInsight for 30 days following account termination, after which data may be permanently deleted. Sections on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be attempted through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in English remotely or in Austin, Texas.

Class Action Waiver — You waive any right to participate in class action litigation or class-wide arbitration. Either party may bring claims in small claims court for disputes within that court's jurisdiction.

Entire Agreement — These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and NeuralStrat Labs regarding our services.

Severability — If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.

Waiver — Failure to enforce any provision does not constitute a waiver of our right to enforce it later.

Assignment — You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
